RG GlOBAL LIFESTYLES, INC. REPORTS NINE MONTHS AND THIRD QUARTER RESULTS
February 15 2005 IRVINE, Revenues for the first nine months of the Company’s operations ended December 31, 2004 were $4,294,260 with cost of sales of $1,988,834, resulting in a gross profit of $2,305,425, compared to no revenues or costs of sales for the same nine months ended December 31, 2003. Operating expenses for the nine months ended December 31, 2004 were $1,892,613. Net income from operations was $412,812 or $0.02 per share, compared with a net loss from operations of $23,067 for the nine months ended December 31, 2003. Included in the operating expenses are two non-cash, non-recurring items totaling $973,379 for stock compensation to officers and directors distributed in lieu of cash for services to be performed over the next three years, resulting in an EBITDA of $1,386,191. Weighted average number of common shares outstanding during the nine months ended December 31, 2004 and 2003 were 24,935,000 and 19,965,120, respectively.
Revenues for the three months and third quarter ended December 31, 2004 were $1,066,584, with cost of sales of $496,236, resulting in a gross profit of $570,348, compared to no revenue or cost of sales for the same three months ended December 31, 2003.
Operating expenses for the three months ended December 31, 2004 were $563,762, compared to $12,482 for the same three month period ended December 31, 2003. Included in the operating expenses for the third quarter of fiscal 2004 is a non-recurring item of $145,006 for expenses related to the merger and consolidation of RG Global Lifestyles, Inc. and its subsidiaries.
